1. Agreement to Terms

By engaging Prairie Software ("Agency", "we", "us") for web design, custom software development, static site engineering, or ongoing maintenance services, you ("Client") agree to be bound by these Terms & Conditions.

2. Service Packages & Pricing Structure

A. The Growth Care Plan ($250 Initial Setup + $35/month CAD Retainer)

A fully managed, continuous website service ($250 initial setup fee plus $35/month CAD recurring subscription). Includes custom website design, domain configuration, continuous hosting infrastructure management, security oversight, automated backups, and minor monthly text/photo content updates. Prairie Software manages and updates the site on your behalf. Retainer may be cancelled anytime with 30 days written notice.

B. The Launchpad ($500 Flat Rate CAD)

A one-time custom build project ($500 flat rate CAD) for clients who want full code ownership while managing their own text and photo updates. Includes custom design, mobile optimization, domain configuration, initial hosting deployment, and an easy self-editing control panel.

C. Custom Software & Hourly Developer Rate ($85/hr CAD)

Custom software requests, online tools, multi-page expansions, or work outside defined package scopes are billed transparently at $85/hr CAD with pre-approved estimates.

3. Payment Processing & Stripe Checkout

Clients may initiate projects via direct online credit card checkout (processed securely via Stripe) or custom electronic invoicing. For flat-rate packages, full payment or agreed initial deposit is required prior to project kickoff. Recurring monthly Care Plan subscriptions ($35/mo CAD) are billed automatically via Stripe on a monthly billing cycle until cancelled with 30 days written notice.

4. Code Ownership & Repository Management

For The Launchpad package, upon receipt of final payment in full, Prairie Software grants and assigns to the Client full, unencumbered ownership of all custom code, repository access, graphical layouts, and website assets created specifically for the Client's project. For The Growth Care Plan package, Prairie Software hosts, manages, and maintains the code repository on behalf of the Client as part of our fully managed service.

5. Hosting Infrastructure, Acceptable Use & Infrastructure Protection

Professional setup, domain DNS administration, and hosting infrastructure configuration are fully handled by Prairie Software across both packages. For clients receiving repository or code ownership access (including The Launchpad package), Client agrees to adhere strictly to legal compliance and hosting provider Terms of Service. If Client or any party acting on Client's behalf modifies the code repository or site content in a way that introduces illegal material, copyright infringement, malicious scripts, or breaches hosting Terms of Service, Prairie Software reserves the explicit right to immediately sever the hosting connection, disconnect deployment integration, and revoke deployment access without prior notice to protect developer infrastructure and platform integrity.

6. Portfolio & Marketing Rights

Client grants Prairie Software the non-exclusive right to showcase completed website designs, screenshots, video walkthroughs, case studies, and live links in Prairie Software's marketing portfolio, website, social media, and promotional materials for demonstration purposes.

7. Footer Attribution & Branding Credit

Client agrees to allow a discreet, clean attribution link (such as "Designed & Built by Prairie Software") placed in the footer of the completed website. Client agrees not to modify or remove this credit link without prior written consent or an agreed white-label buy-out.

8. Warranties & Limitation of Liability

Services are provided on an "as is" and "as available" basis. Prairie Software makes no explicit guarantees regarding search engine ranking positions, specific sales conversion metrics, third-party network uptime, or specific third-party speed test scores, as external network conditions and search algorithm updates remain beyond Agency control. In no event shall Prairie Software's total aggregate liability exceed the actual fees paid by Client for the specific project engagement.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein.
